1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Client,” “you,” or “your”) and Slingshot Local (“Company,” “we,” “us,” or “our”), governing your access to and use of our AI-powered local SEO services, our website at slingshotlocal.agency, the client portal, and all related tools and communications (collectively, the “Services”).

By subscribing to our Services, accessing the client portal, or otherwise engaging with Slingshot Local, you agree to be bound by these Terms. If you do not agree, do not use our Services.

2. Description of Services

Slingshot Local provides AI-powered local SEO services for small and medium-sized businesses. Our Services include, but are not limited to:

• SEO Content Creation: AI-generated blog posts, landing pages, and other written content optimized for local search visibility, published directly to your website.
• Google Business Profile Optimization: Setup, optimization, and ongoing management of your Google Business Profile listing.
• Technical SEO Audits: Automated analysis of your website’s technical SEO health with actionable recommendations.
• Keyword Tracking & Reporting: Monitoring your search rankings and providing regular performance reports via your client dashboard.
• Client Portal: A web-based dashboard where you can view rankings, content, reports, and communicate with our team.

3. Subscription Plans & Billing

3.1 Plans

We offer the following subscription tiers:

• Starter ($200/month): 1 blog post per week (4 per month), basic keyword tracking, monthly performance reports.
• Growth ($500/month): 3 blog posts per week (12 per month), expanded keyword tracking, Google Business Profile optimization, bi-weekly reporting.
• Accelerate ($1,000/month): 5 blog posts per week (20 per month), full-service SEO including market exclusivity in your service area, priority support, weekly reporting.

3.2 Billing

Subscriptions are billed monthly in advance via Stripe. Your billing cycle begins on the date of your initial subscription and renews automatically each month. All prices are in US Dollars. You are responsible for providing accurate and current payment information.

3.3 Diagnostic Fee

The one-time $99 Diagnostic fee is credited toward any monthly plan purchased within 30 days of the diagnostic.

3.4 Price Changes

We reserve the right to modify pricing with at least 30 days’ written notice. Price changes will take effect at the start of your next billing cycle following the notice period.

4. Content Ownership

Your Content: All SEO content (blog posts, landing pages, meta descriptions, etc.) created by our Services and published to your website becomes your property upon publication. You retain full ownership of and rights to all content published to your site.

Our Systems: We retain all rights to our proprietary AI systems, algorithms, processes, tools, templates, and the underlying technology used to deliver the Services. Nothing in these Terms transfers ownership of our intellectual property to you.

Portfolio Rights: We may reference your business name and general results achieved (e.g., “improved rankings by X%”) in our marketing materials and case studies, unless you opt out in writing.

5. 90-Day Results Guarantee

If you do not see measurable improvement in your Google search visibility within 90 days of active service, we will continue delivering services for up to one additional quarter (90 days) at no charge. This guarantee is subject to the following conditions:

• Your account must remain in good standing with no overdue payments during the initial 90-day period.
• You must maintain CMS access for content publishing throughout the guarantee period.
• “Measurable improvement” is defined as a documented increase in keyword rankings, organic traffic, or Google Business Profile visibility as tracked by our reporting tools.
• The guarantee does not apply if you make material changes to your website (such as a complete redesign or domain change) that negatively impact SEO performance during the guarantee period.
• The guarantee is limited to one additional quarter of free service and does not entitle you to a monetary refund.

6. CMS Access & Content Publishing

To deliver our Services, you grant Slingshot Local access to your website’s content management system (CMS), such as WordPress or Wix. This access is used solely to publish, update, and manage SEO content on your behalf.

You agree to:

• Provide valid CMS credentials or API access during onboarding.
• Maintain our access throughout the duration of your subscription.
• Notify us promptly if CMS credentials change.

We agree to:

• Not modify existing content on your site without your approval.
• Use CMS access only for the purpose of delivering the Services.
• Not share your credentials with third parties.
• Encrypt all stored CMS credentials at rest and transmit them only over secure connections.

7. Data Handling & Privacy

We collect and process data as necessary to provide the Services, including your business information, website analytics, search ranking data, and communication records. For full details on how we handle your data, please refer to our Privacy Policy.

We do not sell your data to third parties. We do not use your business data to train AI models. Your data is used exclusively to deliver and improve your SEO services.

8. Cancellation & Refund Policy

8.1 Cancellation

You may cancel your subscription at any time through the client portal or by contacting us at team@slingshotlocal.agency. Upon cancellation:

• Your subscription will remain active until the end of the current billing period.
• No further charges will be made after the current period ends.
• All content previously published to your website remains yours and will stay on your site.
• Access to the client portal will continue until the end of the billing period.
• Account data is retained for 90 days post-cancellation, then permanently deleted.

8.2 Refunds

Because our Services involve immediate work (content creation, technical audits, profile optimization), we do not offer refunds for the current billing period. If you cancel mid-cycle, you will continue to receive Services through the end of that period.

In exceptional circumstances, refund requests may be considered on a case-by-case basis at our sole discretion. Contact team@slingshotlocal.agency to discuss.

9. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or to promote illegal activities.
• Provide false or misleading business information.
• Attempt to reverse-engineer, copy, or replicate our AI systems or proprietary processes.
• Share your client portal credentials with unauthorized third parties.
• Interfere with or disrupt the Services or servers connected to the Services.

We reserve the right to suspend or terminate your account for violations of these terms, with notice where practicable.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Slingshot Local and its officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the Services.

Our total aggregate liability for any claims arising from or related to these Terms or the Services shall not exceed the total fees paid by you to Slingshot Local during the three (3) months immediately preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless Slingshot Local from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from: (a) your breach of these Terms; (b) your use of the Services; (c) any content or information you provide to us that infringes upon the rights of a third party; or (d) your violation of any applicable law or regulation.

12. Dispute Resolution

Any disputes arising under these Terms shall first be addressed through good-faith negotiation between the parties. If a resolution cannot be reached within 30 days, the dispute shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the State of Delaware. Each party shall bear its own costs of arbitration.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you via email or through the client portal at least 30 days before the changes take effect. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Slingshot Local regarding the Services and supersede all prior agreements and understandings, whether written or oral.
